These Terms of Service (“Terms”) govern your use of Ademero's software products and services, including Content Central, Nucleus One, AP Central, and CapturePoint (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
2. Description of Services
Ademero provides document management and workflow automation software solutions. Our Services include:
- Content Central: Enterprise document management system
- Nucleus One: Project management and collaboration platform
- AP Central: AI-powered invoice processing solution
- CapturePoint: Document scanning and capture solution
We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice to users.
3. User Accounts and Responsibilities
To access certain features of our Services, you must create an account. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
- Ensuring that your account information is accurate and up-to-date
You must be at least 18 years old to create an account and use our Services.
4. Acceptable Use Policy
You agree not to use our Services to:
- Violate any applicable laws or regulations
- Infringe upon intellectual property rights of others

- No refunds for unused portions of prepaid subscription periods

You retain ownership of the content you upload to our Services, but grant us a license to use, process, and store such content as necessary to provide the Services.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADEMERO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.
Our total liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the amount you paid us in the twelve months preceding the claim.
9. Termination
Either party may terminate these Terms at any time. Upon termination:
- Your right to use the Services will cease immediately
- We may delete your account and data after reasonable notice
- You remain liable for all charges incurred up to the termination date
- Provisions that by their nature should survive will continue to apply
10. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through our Services at least 30 days before the changes take effect.
Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.
